Terms & Conditions

These terms govern all custom software engineering, digital platforms, Google Business Profile services, Google Ads & Meta Ads management, SEO visibility, and consulting agreements between HITS META and our clients worldwide.

Effective Date: July 23, 2026

1. Introduction & Overview

Welcome to HITS META. We operate a technology consulting and software engineering firm head-quartered in Lahore, Pakistan, offering custom software development, web applications, SaaS platforms, ERP/CRM solutions, AI automation, SEO visibility, Google Ads, Meta Ads management, Google Business Profile optimization, and corporate training.

Throughout this document, the terms “HITS META,” “we,” “us,” and “our” refer to our organization, while “Client,” “You,” and “Your” refer to any entity or individual entering into a business relationship with us or utilizing our website located at https://www.hitsmeta.com.

2. Acceptance of Terms

By commissioning project work, signing a statement of work (SOW), submitting project inquiries, enrolling in training modules, or accessing our platform, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by these Terms & Conditions.

If you are acting on behalf of a corporation or enterprise, you represent and warrant that you possess the legal authority to bind that entity to these terms.

3. Services Offered & Scope of Work

HITS META delivers specialized digital services across three core domains:

  • Software & Engineering (Build): Custom web app engineering, SaaS multi-tenant systems, enterprise ERP/CRM development, mobile app construction, and custom UI/UX design.
  • AI & Automation (Automate): Business process automation, custom AI customer service agents, internal workflow integrations, and data extraction pipelines.
  • Growth & Digital Marketing (Grow): Technical Search Engine Optimization (SEO), Google Business Profile optimization, Google Ads (Search, Display, Performance Max), Meta Ads (Facebook & Instagram), performance marketing campaigns, and corporate brand positioning.

Every client engagement is governed by a mutually agreed Scope of Work detailing technical specifications, deliverables, milestone timelines, and financial schedules. Any feature request or technical expansion outside the signed agreement will require an official Change Order estimate.

4. Google Business Profile & Local SEO Disclaimer

HITS META assists clients with Google Business Profile setup, technical optimization, address geotargeting, category alignment, review strategy, and local SEO management.

  • Third-Party Authority: Google LLC retains full and exclusive authority over Business Profile verification, postcard/video validation methods, account suspensions, reinstatements, review moderation, local pack rankings, map visibility, and policy enforcement.
  • No Approval Guarantees: HITS META cannot guarantee instant profile approval, postcard arrival, successful verification, reinstatement of suspended listings, review restoration, or permanent account availability.
  • Liability Exemption: If a profile is suspended, hidden, or penalized due to Google policy changes, inaccurate client-provided details, spam detection algorithms, historical account violations, or third-party reports, HITS META shall not be held liable.
  • Reinstatement Services: Assistance with suspended profiles or appealing Google policy violations is treated as a separate paid technical service under a dedicated agreement, unless explicitly included in the active contract.

5. Google Ads Campaign Disclaimer

HITS META manages Google Ads (PPC, Search, Display, Shopping, YouTube, and Performance Max) campaigns according to Google Advertising Policies and industry best practices.

  • Google Advertising Authority: Google LLC has sole authority over ad creative approvals, ad disapprovals, account suspensions, billing verification holds, policy violation warnings, Quality Score calculations, auction algorithms, and account termination.
  • Performance Disclaimers: HITS META cannot guarantee specific ad impressions, click-through rates (CTR), conversion counts, cost-per-click (CPC), lead volumes, sales, Return on Ad Spend (ROAS), or net revenue.
  • Market Variables:Campaign results depend on variables outside agency control, including competitor bidding budgets, market saturation, landing page conversion friction, buyer intent, price sensitivity, seasonality, and Google's automated bidding updates.
  • Account Restrictions:Any account suspension, billing hold, or ad disapproval imposed by Google is outside HITS META's control, and HITS META holds no financial liability for campaign downtime or lost ad revenue.

6. Meta Ads (Facebook & Instagram) Disclaimer

HITS META designs and manages advertising campaigns on Meta platforms (Facebook, Instagram, Messenger, and Audience Network) in compliance with Meta Advertising Standards.

  • Meta Platform Authority: Meta Platforms, Inc. possesses complete authority regarding ad approvals, ad rejections, disabled Business Managers, disabled ad accounts, restricted personal profiles, policy enforcement, and payment verification checks.
  • No Result Guarantees: HITS META cannot guarantee campaign reach, impression frequency, lead quality, conversion volumes, audience growth, or sales revenue.
  • Enforcement Actions:Any account restriction, temporary hold, or permanent disablement imposed by Meta's automated review system is outside HITS META's control. HITS META is held harmless from any business losses or ad account disablements resulting from Meta's enforcement.

7. Search Engine Optimization (SEO) Disclaimer

HITS META executes technical, on-page, and off-page Search Engine Optimization following white-hat industry standards and Google Search Essentials / Webmaster Guidelines.

  • No #1 Ranking Guarantees: No company or agency can guarantee #1 rankings or specific position placement on Google or any search engine.
  • Algorithmic Fluctuations: Search engine rankings, organic traffic volume, impressions, and indexing speeds fluctuate naturally due to core algorithm updates, competitor optimization efforts, domain history, content freshness, search intent changes, or hosting server performance.
  • Ongoing Engineering Discipline: SEO is a continuous engineering and strategy discipline rather than an instant result. Sustainable ranking improvements require consistent content creation, technical audits, and time to mature.

8. Third-Party Platforms & Infrastructure

Our custom software, SaaS products, AI automation pipelines, and marketing campaigns frequently integrate with or run on third-party platforms and cloud infrastructure. These include, but are not limited to:

  • Google LLC (Google Search, Google Business Profile, Google Ads, Google Analytics, Google Maps, YouTube)
  • Meta Platforms, Inc. (Facebook, Instagram, WhatsApp Business API, Meta Ads Manager)
  • LinkedIn Corporation (LinkedIn Marketing Solutions, Sales Navigator)
  • X Corp. (formerly Twitter)
  • Microsoft Corporation (Azure, Bing Ads, Microsoft 365)
  • Cloudflare, Inc. (DNS, Security, Turnstile Bot Protection, CDN)
  • Amazon Web Services (AWS) (EC2, S3, RDS, CloudFront)
  • Vercel Inc. (Next.js Cloud Hosting & Edge Infrastructure)
  • Stripe, Inc. (Merchant Payment Processing)
  • OpenAI, LLC (AI API Models & Embeddings)
  • GitHub, Inc. (Version Control & Repositories)
  • Any third-party hosting provider, domain registrar, or cloud infrastructure commissioned by the Client.

Trademark & Policy Ownership: All trademarks, service marks, brand names, and logos belong exclusively to their respective corporate owners. HITS META possesses no ownership, partnership, or administrative authority over these third-party platforms.

HITS META exercises no control over third-party terms of service, privacy practices, API deprecations, rate limits, algorithm updates, policy enforcement decisions, billing structures, or server outages.

9. Client Responsibilities & Cooperation

Timely project completion requires proactive client collaboration. The Client agrees to:

  • Provide accurate project assets, branding collateral, text content, design guidelines, and domain credentials in a timely manner.
  • Designate a primary contact person authorized to review deliverables and grant milestone approvals.
  • Review sprint demos, staging links, and pull requests within five (5) business days of delivery to maintain development momentum.

10. Project Timelines & Delays

Target completion dates are estimated based on technical complexity and initial requirements. While we strive to meet all milestone dates:

  • Client Delays: Delays resulting from missing client feedback, late asset submissions, or delayed payment milestones will automatically extend the overall project deadline accordingly.
  • Scope Creep: Requests for additional features during development will be evaluated via a Change Order, which may adjust the overall timeline and pricing.

11. Warranty Period & Maintenance Support

All custom software engineering deliverables include a 30-day post-launch warranty period starting from the official deployment date. During this period, HITS META will correct any software bugs, broken routines, or code syntax defects identified within the original scope of work at no extra cost.

The warranty does not cover issues arising from client modifications to the source code, third-party hosting server failures, or unannounced updates to external APIs after launch. Extended maintenance plans are available under monthly retainer contracts.

12. Monthly Service Agreements & Retainers

Ongoing retainers (such as monthly SEO campaigns, ad account management, server administration, or retainer developer hours) are billed on a recurring monthly cycle. Monthly retainer subscriptions require a minimum 30-day written notice prior to the next billing cycle for cancellation.

13. Third-Party Platform Billing & Credentials

Clients are responsible for maintaining active, funded accounts with third-party vendors (such as AWS, Vercel, Cloudflare, OpenAI, Stripe, Meta, and Google). All third-party ad spend (Google Ads, Meta Ads) and cloud infrastructure costs are paid directly by the Client to the respective platform.

HITS META handles client server credentials, API tokens, and administrative access under strict security protocols and NDA standards.

14. Confidentiality & Data Protection

Both parties agree to treat all business strategies, proprietary algorithms, database schemas, financial figures, and trade secrets disclosed during engagement as strictly confidential. Neither party shall disclose proprietary information to third parties without prior written consent, except as required by law.

15. Payments, Outstanding Balances & Suspension

Unless explicitly agreed otherwise in a milestone contract:

  • Projects require an initial deposit (typically 30% to 50%) prior to development commencement.
  • Invoices are due upon receipt or within seven (7) calendar days.
  • Invoices unpaid after 14 days may result in temporary project suspension, staging site password protection, pause in active developer sprint cycles, or campaign pause until the balance is cleared.

16. Cancellation & Refund Policy

Clients may cancel a project contract at any time by issuing written notice. Upon cancellation:

  • Deposits and completed milestone payments are non-refundable as they cover completed engineering hours and team resource allocation.
  • The Client is responsible for paying for all work completed up to the date of cancellation notice.
  • Upon settlement of outstanding work, HITS META will deliver all source files completed up to that point.

17. Intellectual Property & Code Ownership Transfer

HITS META retains full ownership of all source code, database architectures, graphics, and custom assets developed during the project until the invoice balance is paid in full.

Upon final payment settlement, HITS META transfers complete, unencumbered intellectual property rights and code ownership for the custom project deliverables to the Client, excluding pre-existing open-source libraries or HITS META internal core framework tools.

18. Limitation of Liability

To the maximum extent permitted by applicable law, HITS META and its officers, engineers, or sub-contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of ad spend, revenue, data, Google/Meta account suspensions, or business opportunity) arising out of or related to our services, code execution, server downtime, or third-party service interruptions.

Our maximum cumulative financial liability under any circumstance shall not exceed the total fees paid by the Client to HITS META for the specific project engagement in question.

19. Force Majeure

Neither party shall be held responsible for failures or delays in performance caused by circumstances beyond reasonable control, including acts of God, natural disasters, fiber optic network outages, national power grid failures, war, civil unrest, or global server infrastructure disruptions.

20. Governing Law & Jurisdiction

These Terms & Conditions and any contracts entered into with HITS META shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any legal dispute or proceeding arising from these agreements shall be subject to the exclusive jurisdiction of the courts located in Lahore, Pakistan.

21. Modifications to Terms

We reserve the right to revise these Terms & Conditions periodically to reflect changing regulatory requirements or operational upgrades. Updated versions will be posted on this page with an updated effective date. Continued use of our services following such changes constitutes acceptance of the new terms.
